Delchev and Partners provided full legal assistance to the sole shareholder of Benefit Systems Bulgaria (the company providing the MultiSport cards) upon admission of one of the company directors as a shareholder in the company. The project included drafting of the Shareholders’ Agreement and other related documentation.

Delchev and Partners provided full legal assistance to a large international forwarding, warehousing and logistics company upon its entry to Bulgaria through the incorporation of a subsidiary, drafting of the subsidiary director’s management agreement, review of business documentation (general terms and conditions for customers, agreement with subcarriers for domestic transport, agreement with international subcarriers, etc).

Delchev & Partners is involved in litigation on behalf of RTi Finance GmbH against a major debtor. RTi Finance GmbH is a part of RTi Group – a civil engineering company and specialist in the inspection and trenchless rehabilitation of pipelines and piping systems.

Delchev and Partners assisted BTL Industries AD (the largest medical equipment manufacturer in Bulgaria) in the acquisition of land in the town of Plovdiv for construction of a new plant. The transaction was finalized in the course of insolvency proceedings in respect of the former owner of the land.

Delchev and Partners advised Holland & Knight on regulatory matters concerning broker-dealer services, investment advisory and investment management activities to be conducted on a cross-border basis with customers in Bulgaria.

Delchev & Partners advised and assisted Benefit Systems Bulgaria EOOD (the company offering the innovative MultiSport card in Bulgaria) in relation to almost every aspect of the commercial activity of the company, including lease agreements, client agreements, agreement with sports clubs, agreements for marketing activities, etc.

Delchev & Partners provided comprehensive advice to BTL Industries for various restructuring scenarios for optimization of the activities of the group. In 2018 Delchev & Partners was involved in a merger of two of the Bulgarian subsidiaries of BTL group. BTL is among the world’s major manufacturers of medical equipment with main focus on physical therapy, cardiology and medical aesthetics. BTL has offices in more than 54 countries with over 800 employees and 120 engineers.

In 2018 Delchev & Partners real estate and construction lawyers provided to Fit Invest Bulgaria legal services related to the negotiation, the preparation and the conclusion of long term lease agreements for prime location premises. The recently leased premises are to host Fit Invest’s new fitness clubs chain – “Next Level”. All significant construction investments made in the leased premises were fulfilled in compliance with the construction agreements drafted by Delchev & Partners.

Delchev & Partners successfully represented Flamagas SA before the Bulgarian Commission on Protection of Competition on a very complex unfair competition case against Flamagas SA’s former Bulgarian distributor.  The case concerned the distribution of non-child resistant lighters in Bulgaria, counterfeit products, imitation of Clipper lighters and gas refills and other unfair competition acts.  Flamagas SA is seated in Barcelona, Spain, belonging to Exea Corporation, and is the second biggest lighter manufacturer in the world

Delchev & Partners professional tax team supports Airbus France in the VAT registration in Bulgaria and provides VAT compliance services in relation to the Bulgarian operations of the company.
